About the role
Electric Capital is a top early-stage venture firm investing in crypto and other frontier technologies. The Legal and Compliance team advises the firm on all legal and regulatory matters, and manages our compliance function.
We are looking for an experienced, agile and commercial-oriented lawyer to expand Electric Capital's legal and compliance throughput and unlock more business opportunities. As Electric's second lawyer, you will work closely with our investment team and have exposure to all areas of our rapidly growing business.

Responsibilities
You will be responsible for finding creative solutions to mitigate legal and regulatory risk while enabling novel business strategies in one of the most dynamic and intellectually challenging areas of law today.
Reporting to the General Counsel & Chief Compliance Officer, and working closely with Electric’s co-founders and the rest of the Electric team, you will have primary responsibility to:
- Own legal work for all investments, including issuing term sheets, negotiating key terms, and conducting due diligence, and also advising on corporate matters post-investment, including shareholder consents, mergers and acquisitions, and the like;
- Negotiate key agreements with service providers, including prime brokers, custodians, borrowers;
- Be a subject matter expert on commercial terms of investments and other corporate matters, including entity structuring and applicable regulatory issues for investments;
- Drive legal work for funds and SPVs, including creating and revising agreements for new vehicles and advising on legal issues relating to those agreements, such as LP-specific matters, advisory board approvals, supervising and managing outside counsel as necessary, etc.;
- Stay up to date on regulatory developments and industry trends to ensure legal and regulatory matters relating to investment terms and process remain current and effective;
- Assist in supporting Electric’s compliance program, including: updating compliance policies and procedures to ensure compliance with applicable securities laws and regulations, monitoring investment activities for conflicts of interest and best execution, creating and updating policies and procedures relating to trading, and preparing regulatory filings.
Requirements
Candidates must have both a Bachelor’s Degree and Juris Doctor from top schools, and 6+ years of experience with:
- Counseling emerging growth and digital asset companies and investors on a broad range of transactional matters, including general business matters, corporate governance, and technology transfers, with a focus on venture capital financings and mergers and acquisitions.
- Proactive business mindset: someone who considers him- or herself a thought leader with impeccable organization, project management, and communication skills, all under tight deadlines.
- Advising senior executives on complex matters with limited information.
- Working in a fast-paced environment with high trust and low ego, and adjusting priorities in response to unanticipated events with minimal oversight.
- Improving processes and building out new systems from scratch.
- Toggling between strategic thinking and tactical execution.
- Building consensus among diverse stakeholders.

- In-house experience at a product-led company or a venture capital firm
- Deep understanding of blockchain, digital assets and the unique legal and business issues that investing in them presents
- Fund formation expertise, including fundraising, negotiating side letters, documenting transfers and other LP-related matters, and interpreting those agreements.
Compensation and benefits
Compensation: Competitive salary package $200,000-400,000 commensurate with experience. Potential for bonuses and participation in the firm's carried interest, which creates meaningful upside tied to our fund performance over time.
